Civ3 Shutdown problem with Windows XP

Here is my problem. I am running Windows XP Home with all of the Windows updates applied. I am running Civ3 with the Win98 Compatibility mode turned on. Everything runs fine but when I exit the program it does not shut down. The computer goes back to the desk top and everything looks normal but when I bring up the Task Manager it shows a copy of Civ3.exe still running. If I click on the short cut I get two copies running. They do not show up on the task bar and the program does not run but they show up in the Task Manager. If I tell the task manager to kill Civ3 then I can start the game and everything works.

Pentium P3 1 ghz
Geforce 2 Mx, 1240 drivers
SoundBlaster Live 5.1
Windows XP Home all updates applied.
